1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or entity) and FlowForg ERP ("Company," "we," "us," or "our") governing your access to and use of the FlowForg ERP software-as-a-service platform, including any associated features, content, and services (collectively, the "Service").

2. Description of Service

FlowForg ERP is a cloud-based Enterprise Resource Planning (ERP) platform that provides:

• Financial management and accounting
• Inventory and stock management
• Sales and purchase order processing
• Point of Sale (POS) functionality
• Customer and supplier relationship management
• Human resources and payroll management
• Reporting and business analytics
• Multi-company and multi-user access

3. Account Registration

3.1 Account Creation

To use FlowForg ERP, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Types

FlowForg ERP offers different account types including individual accounts, company accounts, and administrator accounts. Access permissions vary based on account type and subscription level.

4. Subscription and Payment

4.1 Subscription Plans

Access to FlowForg ERP is provided on a subscription basis. Features and limitations vary by plan. We reserve the right to modify pricing and plans with reasonable notice.

4.2 Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated
• We may suspend access for overdue payments
• Taxes are not included unless specifically stated

4.3 Free Trial

We may offer free trials at our discretion. At the end of a trial period, your account will be converted to a paid subscription or suspended, unless you cancel before the trial ends.

5. Acceptable Use Policy

You agree NOT to use FlowForg ERP to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Share your account credentials with unauthorized parties
• Use automated systems to access the Service without permission
• Store or process illegal content
• Resell or redistribute the Service without authorization

6. Data Ownership and Responsibility

6.1 Your Data

You retain all rights to the business data you input into FlowForg ERP ("Your Data"). You grant us a limited license to store, process, and display Your Data solely to provide the Service.

6.2 Data Accuracy

You are responsible for the accuracy and legality of Your Data. We do not verify the content you upload and are not liable for errors in Your Data.

6.3 Data Export

You may export Your Data at any time during your active subscription. We provide reasonable tools for data export in standard formats.

7. Intellectual Property

7.1 Our Intellectual Property

FlowForg ERP, including its code, design, features, documentation, and branding, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

7.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

8. Service Availability

8.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for significant changes that affect your use.

• Content you upload or process through the Service

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

12.2 Termination by Us

We may suspend or terminate your access immediately if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Pose a security risk to our systems or other users

12.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We may delete Your Data after a 30-day grace period unless legally required to retain it.

13. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction where FlowForg ERP operates. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction, at our discretion.

14. Changes to Terms

We may revise these Terms at any time. Material changes will be communicated via email or notice within the Service. Continued use after changes constitutes acceptance of the revised Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and FlowForg ERP.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent.
• Force Majeure: We are not liable for delays caused by circumstances beyond our reasonable control.
